1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Task Rescue LLC, doing business as GaiaOps ("GaiaOps," "we," "us," or "our"), governing your access to and use of the website located at https://gaiaops.io (the "Site"), including any content, functionality, and services offered on or through the Site.

Task Rescue LLC is a Delaware limited liability company with its principal place of business at 16192 Coastal Highway, Lewes, Delaware 19958.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use the Site.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the Site. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.

2. Use of the Site

2.1 Permitted Use

You may access and use the Site for lawful purposes only and in accordance with these Terms. Specifically, you may:

  • Browse and view content on the Site
  • Schedule consultations through our booking system
  • Submit inquiries through contact forms
  • Subscribe to our newsletter and marketing communications
  • Download resources we make available for download
  • Share links to our Site on social media and other platforms

2.2 Prohibited Uses

You agree not to use the Site:

For Unlawful Purposes:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate GaiaOps, a GaiaOps employee, another user, or any other person or entity

For Harmful Activities:

  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
  • To use any robot, spider, or other automatic device, process, or means to access the Site for any purpose
  • To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
  • To attempt to gain unauthorized access to any portion of the Site, systems, or networks connected to the Site

For Commercial Exploitation:

  • To reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without our express written permission
  • To scrape, harvest, or collect information from the Site using automated means
  • To use the Site for competitive analysis or to build competitive products or services

For Interference:

  • To take any action that imposes an unreasonable or disproportionately large load on our infrastructure
  • To interfere with or disrupt the Site or servers or networks connected to the Site
  • To use the Site in any manner that could disable, overburden, damage, or impair the Site

3. Intellectual Property Rights

3.1 Site Content Ownership

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection and arrangement, and the overall "look and feel") are owned by GaiaOps, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Trademarks

The GaiaOps name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Task Rescue LLC or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

3.3 Limited License

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your personal or internal business purposes. This license does not include any right to:

  • Modify or copy the materials on the Site
  • Use the materials for any commercial purpose or public display
  • Attempt to decompile or reverse engineer any software contained on the Site
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

This license automatically terminates if you violate any of these restrictions and may be terminated by GaiaOps at any time.

3.4 Copyright Infringement

If you believe that any content on the Site infringes your copyright, please contact us at https://gaiaops.io/contact with:

  • A description of the copyrighted work you claim has been infringed
  • A description of where the material you claim is infringing is located on the Site
  • Your contact information
  • A statement that you have a good faith belief that the disputed use is not authorized
  • A statement that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

4. User Contributions and Submissions

4.1 Information You Provide

When you submit information through the Site (such as through contact forms, consultation bookings, or newsletter subscriptions), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such information solely for the purposes of:

  • Providing our services to you
  • Responding to your inquiries
  • Sending you information you requested
  • Improving our Site and services

4.2 Feedback and Suggestions

If you provide us with feedback, suggestions, or ideas about the Site or our services ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose, including to improve the Site and create other products and services, without any obligation to compensate you.

5. Booking and Scheduling

5.1 Consultation Bookings

Our Site may allow you to schedule consultations and meetings with us through third-party scheduling services (such as Calendly). When you book a consultation:

  • You agree to attend at the scheduled time or provide reasonable notice of cancellation
  • You understand that we reserve the right to reschedule or cancel appointments with reasonable notice
  • You acknowledge that booking a consultation does not create a client relationship until a formal service agreement is executed
  • No confidential information should be shared until a formal engagement and confidentiality agreement are in place

5.2 No Guarantee of Service

Scheduling a consultation through the Site does not guarantee that we will enter into a service agreement with you. We reserve the right to decline service for any reason.

6. Third-Party Links and Services

6.1 Third-Party Websites

The Site may contain links to third-party websites or services that are not owned or controlled by GaiaOps. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that GaiaOps shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

6.2 Third-Party Services

Our Site integrates with third-party services (such as Calendly for scheduling and Stripe for payments). Your use of these services is subject to their respective terms of service and privacy policies. We encourage you to read the terms and policies of any third-party services you access through our Site.

7. Disclaimers and Limitations of Liability

7.1 "As Is" and "As Available" Basis

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GAIAOPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Site will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • The Site is free of viruses or other harmful components
  • The results of using the Site will meet your requirements

7.2 Professional Advice Disclaimer

THE CONTENT ON THE SITE IS FOR GENERAL INFORMATION PURPOSES ONLY. IT IS NOT INTENDED AS, AND SHOULD NOT BE RELIED UPON AS, PROFESSIONAL ADVICE. ANY RELIANCE YOU PLACE ON INFORMATION FROM THE SITE IS STRICTLY AT YOUR OWN RISK.

The Site may contain information about digital operations, project management, and business processes. This information is educational in nature and does not constitute professional consulting advice specific to your situation. 7.3 No Client Relationship

VISITING THE SITE, DOWNLOADING RESOURCES, OR SCHEDULING A CONSULTATION DOES NOT CREATE A CLIENT RELATIONSHIP. A formal client relationship is only established upon execution of a written service agreement between you and GaiaOps.

7.4 Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL GAIAOPS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless GaiaOps, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Site
  • Your violation of any third-party right, including any intellectual property right
  • Any content you post or transmit through the Site
  • Any misrepresentation made by you

9. Geographic Restrictions

GaiaOps is based in the United States and provides services primarily to clients in the United States. We make no claims that the Site or its content is accessible or appropriate outside of the United States. Access to the Site may not be legal by certain persons or in certain countries.

If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

10. Governing Law and Jurisdiction

10.1 Governing Law

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

10.2 Dispute Resolution

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you irrevocably consent to personal jurisdiction and venue in such courts.

10.3 Waiver of Class Actions

YOU AND GAIAOPS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11. Termination

11.1 By You

You may stop using the Site at any time. You are not obligated to inform us when you stop using the Site.

11.2 By Us

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

13. Waiver

No waiver by GaiaOps of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of GaiaOps to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GaiaOps regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

15. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void.

We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
